1. Acceptance of Terms

By accessing or using any services provided by Prescott Books (“we,” “our,” or “us”), whether in person, via telephone, email, website, social media, or any digital platform, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use our services.

2. Services Overview

Prescott Books provides literary and publishing-related services, including but not limited to:

• Manuscript evaluations and editorial services
• Book formatting and design (interior and cover)
• eBook and print distribution support
• Marketing and promotional services
• Author branding consultations
• Digital publishing, hosting, and e-commerce integrations

All services are subject to the terms herein and any additional terms outlined in individual service agreements.

3. Online and Digital Use

3.1 Website and Platform Access

Our website, digital products, client portals, and all online platforms are offered “as is” and “as available.” We do not guarantee uninterrupted service or access to features.

3.2 User Accounts

If you create an account on our platform, you are responsible for maintaining its security and confidentiality. We reserve the right to suspend or terminate any account at our discretion.

3.3 Online Payments

Prescott Books may accept online payments through secure third-party payment gateways. By submitting your payment information, you agree that Prescott Books can store and process your information as needed to complete the transaction.

4. Client Responsibilities

You agree to provide accurate and complete information and materials and to respond promptly to communications. Clients are responsible for ensuring the originality of their content and must not submit material that infringes on the rights of others.

5. Intellectual Property and Ownership

5.1 Client Content

You retain ownership of all original content you provide. You grant Prescott Books a non-exclusive, royalty-free license to use, reproduce, and distribute your content as required to fulfill our services.

5.2 Work Product

Prescott Books retains rights to templates, systems, tools, and marketing materials developed in-house. Custom deliverables created exclusively for the client may be transferred with written agreement.

5.3 Copyrights and ISBNs

Clients are responsible for copyright registration unless included in a publishing package. Prescott Books may assist in ISBN registration but is not responsible for third-party processes or delays.

6. Publishing and Distribution

Prescott Books supports distribution on platforms such as Amazon KDP, IngramSpark, Kobo, Apple Books, and others. These platforms are governed by their own terms and policies, and Prescott Books is not liable for platform-related decisions or changes.

7. Marketing and Publicity

Marketing services are provided based on the client’s selected package. All promotional content must be reviewed and approved by the client. Outcomes of marketing campaigns are not guaranteed.

8. Payments and Fees

8.1 Invoicing

Invoices must be paid as scheduled. Late payments may result in additional fees or service delays.

8.2 Refunds

All sales are final due to the customized nature of our work. Refunds may be considered at our sole discretion and based on the service stage.

9. Termination of Services

Services may be terminated by either party with written notice. In the event of client-initiated termination, all fees paid are non-refundable and outstanding work must be compensated.

10. Confidentiality

All client materials and communications are treated as confidential unless otherwise agreed upon in writing.

11. Limitation of Liability

Prescott Books is not liable for indirect or consequential damages. Liability is limited to the total amount paid by the client for the affected service.

12. Privacy Policy

13. Force Majeure

Prescott Books is not responsible for any failure to perform due to events beyond our control, including but not limited to natural disasters, pandemics, war, or changes in legislation.

14. Governing Law and Dispute Resolution

This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes must be resolved through good-faith negotiation and, if unresolved, through binding arbitration in Toronto, Ontario.

15. Amendments

Prescott Books reserves the right to modify these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.
